These Terms and Conditions ("Terms") govern your use of the Mesa Digital LLC website (mesadigitalok.com) and your engagement of Mesa Digital LLC's ("Mesa Digital," "we," "us," "our") consulting services. By accessing our website or engaging our services, you agree to these Terms.
1. Who Can Use Our Website
Our website is intended for individuals and organizations seeking information about, or engagement with, Mesa Digital's consulting services. You must be at least 18 years old, or have the authority to bind an organization you represent, to submit inquiries, book consultations, or enter into a service agreement with us. We do not currently offer user accounts or logins on our website; forms are used for inquiries, scheduling, and intake only.
2. Key Commercial Terms
Specific pricing, deliverables, timelines, and payment terms for any engagement (e.g., Process Mapping & Solution Blueprint, Standard or Premium Builds, Focused Services) are set out in a separate Statement of Work ("SOW") or service agreement signed by both parties. General pricing shown on our website is for informational purposes and does not constitute a binding quote until confirmed in a signed SOW. Deposits (e.g., for a Process Mapping & Solution Blueprint credited toward a future build) are non-refundable once discovery work has begun, except as otherwise stated in your SOW.
3. Retention of Right to Change Offering
We reserve the right to modify, discontinue, rename, or adjust pricing for any service offering at any time. Changes will not affect the terms of an active, signed SOW already in progress, but may apply to future engagements.
4. Warranties & Responsibility for Services and Products
We perform services using commercially reasonable skill and care consistent with industry standards for Power Platform consulting. Except as expressly stated in a signed SOW, our services and any deliverables are provided "as is" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose. We do not warrant that any custom application, automation, or integration will be free of defects, uninterrupted, or compatible with every future platform update issued by Microsoft or other third-party providers.
5. Ownership of Intellectual Property, Copyrights, and Logos

The Mesa Digital name, logo, and website content (excluding client-provided materials) are the property of Mesa Digital LLC and may not be used without written permission.

Unless otherwise specified in a signed SOW, upon full payment for a custom build or deliverable, ownership of the specific application, automation, or configuration created for the client transfers to the client.

Mesa Digital retains the right to reuse general methodologies, frameworks, templates, and non-client-specific know-how developed during an engagement for future client work.

Any pre-existing tools, code libraries, or templates owned by Mesa Digital and used in a deliverable remain the property of Mesa Digital, with a license granted to the client for their continued use of the delivered solution.
6. Right to Suspend or Cancel Services
We reserve the right to suspend or terminate an engagement, consultation access, or website access if a client violates these Terms, fails to make required payments, or engages in abusive or fraudulent conduct. Specific cancellation terms for a given project (notice periods, refund eligibility) are addressed in the applicable SOW.
7. Indemnification
You agree to indemnify and hold Mesa Digital LLC harmless from any claims, damages, or expenses arising from your misuse of our website or deliverables, your violation of these Terms, or your violation of any third-party rights, including data you provide to us for use in an engagement.
8. Limitation of Liability
To the maximum extent permitted by law, Mesa Digital LLC's total liability for any claim arising from our website or services is limited to the amount you paid us for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.
9. Right to Change and Modify These Terms
We may update these Terms from time to time. The effective date at the top of this page reflects the most recent revision. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles. Any disputes arising from these Terms or our services will first be addressed through good-faith negotiation; if unresolved, disputes will be subject to the exclusive jurisdiction of the state or federal courts located in Oklahoma.
